Acceptance of Terms

By accessing or using GigOrganizer ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

Service Description

GigOrganizer provides tools for generating performance contracts and facilitating electronic signatures between parties. The Service includes:

  • Contract generation based on user-provided information
  • PDF downloads of generated contracts
  • Electronic signature collection (paid feature)
  • Financial document generation (invoices, receipts)

Electronic Signatures and Electronic Records

GigOrganizer provides an electronic signature service that enables parties to sign performance contracts electronically. By using the e-signature features of the Service, you acknowledge and agree to the following:

Legal Validity

Electronic signatures executed through GigOrganizer are intended to be legally effective under the Electronic Signatures in Global and National Commerce Act (ESIGN, 15 U.S.C. §7001 et seq.) and the Uniform Electronic Transactions Act (UETA) as adopted in applicable jurisdictions, including the California Uniform Electronic Transactions Act (Cal. Civ. Code §1633.1 et seq.). Under these laws, a signature or contract may not be denied legal effect solely because electronic means were used. Enforceability remains subject to applicable law, document type, authority of the signer, and the facts of the transaction.

Consent to Electronic Records

By initiating or completing an electronic signature through the Service, you consent to: (i) conducting the transaction electronically; (ii) receiving all related documents, notices, and disclosures in electronic form; and (iii) the use of electronic signatures to execute documents. This consent applies to the specific transaction being signed and does not constitute blanket consent for future transactions.

Consumer Disclosure

For transactions classified as consumer transactions, signers are presented with an Electronic Record and Signature Disclosure (ERSD) prior to signing. The disclosure includes: your right to receive paper records; your right to withdraw consent without charge; the hardware and software requirements to access electronic records; the procedure to request paper copies at no cost; and the procedure to update your electronic contact information. You must affirmatively accept the disclosure in a manner that reasonably demonstrates your ability to access the electronic records before signing.

Right to Paper Records

You may request a paper copy of any electronically signed document by contacting the sender at the email address provided in the agreement, or by emailing support@gigorganizer.com. Paper copies are provided at no charge. We aim to process paper-copy requests within 5 business days. If the sender is unresponsive, GigOrganizer support will fulfill the request directly.

Right to Withdraw Consent

You may withdraw your consent to receive electronic records and use electronic signatures at any time by contacting the sender or support@gigorganizer.com. Withdrawal does not affect the legal validity of any electronic signature or record created before withdrawal. Withdrawal of consent may result in the inability to complete the electronic signing transaction.

Hardware and Software Requirements

To access, view, and retain electronic records and sign documents electronically, you need: a device with internet access; a current version of Chrome, Firefox, Safari, or Edge; a screen capable of displaying PDF documents; sufficient storage space to save or print documents; and an active email address. If these requirements materially change in a way that could affect your ability to access or retain electronic records, we will provide an updated disclosure and, where required by law, obtain renewed consent.

Signer Authentication

Signers are authenticated via unique, cryptographically signed links delivered to their email address. Each signing link is bound to a specific signer role, uses HMAC-SHA256 verification, and expires after 30 days. GigOrganizer does not use knowledge-based authentication, SMS-based verification, or government ID verification for standard e-signature transactions.

Audit Trail

GigOrganizer maintains an audit trail for each signing transaction that is designed to be append-only and tamper-evident in ordinary application operation. Routine application paths do not permit modification or deletion of audit events. The audit trail records: document creation and version history; when each signer opened, reviewed, and signed the document; IP addresses and browser information at each step; disclosure acceptance timestamps and versions; signature method (typed name or drawn signature); and document integrity verification via SHA-256 hashing. A Certificate of Completion summarizing the audit trail is appended to the final signed document.

Document Integrity

Each contract version is frozen as a PDF snapshot at the time of sending. A SHA-256 cryptographic hash is computed at generation and verified at signing to ensure the document has not been altered. Signatures are embedded into the frozen PDF upon completion by both parties.

Signing Process

The signing process requires four sequential steps: (1) review of the complete document; (2) acceptance of the applicable disclosure (consumer ERSD or commercial acknowledgment); (3) adoption of a signature via typed legal name (required) with optional drawn signature; and (4) confirmation. Each step is recorded in the audit trail with timestamps.

Document Types Excluded

Under ESIGN and UETA, certain categories of documents are excluded from electronic signature, including: wills, codicils, and testamentary trusts; documents governed by the Uniform Commercial Code (other than §§1-107, 1-206, and Articles 2 and 2A); court orders and official court documents; cancellation or termination of health or life insurance; adoption, divorce, or other family-law matters; certain utility-service termination notices; default, foreclosure, or eviction notices related to a primary residence; product-recall or material health-and-safety notices; and hazardous-materials transport documents. Documents requiring notarization may be eligible for electronic execution if applicable state law permits electronic notarization, but GigOrganizer does not provide notarization services. You are responsible for ensuring that the documents you sign electronically are appropriate for electronic execution under applicable law.

GigOrganizer is not a law firm and does not provide legal advice. The contract templates and electronic signature service are tools provided for convenience. You should consult a qualified attorney for legal advice specific to your jurisdiction and circumstances.

User Responsibilities

By using the Service, you represent and agree that:

  • You are at least 18 years old or otherwise legally able to enter into the transaction
  • If signing on behalf of an entity, you have authority to bind that entity
  • You have entered the correct recipient email address for any contract you send
  • You will provide accurate information when creating contracts
  • You will use the Service only for lawful purposes
  • You will not use the Service to create fraudulent or deceptive contracts
  • You will maintain the confidentiality of your account credentials
  • You will review generated contracts before sending for signature

Payments and Refunds

Pricing: Current pricing is displayed on our pricing page. Prices are subject to change with notice.

GigPacks and Credits: E-signature services are purchased using GigPacks. A GigPack is a credit that entitles you to send one contract for e-signature. GigPacks may be purchased individually, in multi-credit packs at a discount, or included as part of a Pro subscription allowance. Once an e-signature request has been sent, the corresponding GigPack credit is considered used.

Subscriptions: Pro subscriptions are billed monthly or annually. You may cancel your subscription at any time through your account settings or the subscription management portal. Cancellation takes effect at the end of the current billing period. Unused subscription GigPacks do not roll over between billing periods.

Refunds: Refund requests are handled on a case-by-case basis. Contact support@gigorganizer.com if you experience issues with your purchase.

Intellectual Property

You retain ownership of the information you input into contracts. The contract templates, clause library, and Service design are owned by GigOrganizer. You may use generated contracts for your personal and business purposes.

Platform Role

GigOrganizer is a platform that provides contract generation and e-signature tools. GigOrganizer:

  • Is not a party to any agreement between users or signers
  • Does not guarantee that a signer has legal authority to bind another person or entity
  • Does not independently verify signer identity beyond the authentication method described above
  • Is not responsible for either party's performance of the underlying contract

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. GigOrganizer does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any contract or electronic signature will be enforceable in any particular jurisdiction.

Limitation of Liability

To the maximum extent permitted by law, GigOrganizer shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service. This includes but is not limited to damages arising from disputes related to contracts created using the Service, the enforceability or validity of any electronic signature, or any party's failure to perform under a contract facilitated by the Service.

SMS / Text Messaging Terms

GigOrganizer ("GigOrganizer", "we", "us") offers optional SMS text message reminders for team members confirmed on gigs.

  • Program Name: GigOrganizer Gig Reminders
  • Program Description: SMS reminders sent to team members with gig details including venue, arrival time, and point-of-contact information.
  • Message Frequency: Message frequency varies. Typically 1-2 messages per confirmed gig, up to 2 messages per gig.
  • Message and Data Rates: Message and data rates may apply. Contact your mobile carrier for pricing details.
  • Opt-In: You must explicitly opt in to receive SMS messages via the GigOrganizer gig confirmation page. Consent is not a condition of any purchase or service.
  • Opt-Out: Reply STOP to any message to unsubscribe. You may also opt out by unchecking the SMS toggle on your gig confirmation page.
  • Help: Reply HELP to any message for support, or email support@gigorganizer.com.
  • Privacy: Your mobile phone number and opt-in data will never be shared with or sold to third parties or lead generators for marketing or promotional purposes. See our Privacy Policy for full details.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify or discontinue features with reasonable notice.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new terms.
